Registering a private limited company in Nepal is the most common way entrepreneurs formalise their business. This guide walks you through each step so you know exactly what to expect.
A private limited company gives you limited liability protection, a separate legal identity, and the ability to open a corporate bank account, issue invoices, and bid on tenders. It is the recommended structure for most growing businesses in Nepal.
Submit 2–3 proposed company names to the Office of the Company Registrar (OCR) in order of preference. The OCR checks for conflicts with existing names and approves one. This typically takes 1–3 working days.
The Memorandum of Association (MOA) defines your company's objectives and capital structure, while the Articles of Association (AOA) set out the internal governance rules. These documents must be drafted carefully — errors here cause delays later.
Submit the MOA, AOA, citizenship copies of shareholders and directors, and the registered office address to the OCR. The registrar reviews the documents and, if everything is in order, issues the certificate of incorporation within 4–6 working days.
After incorporation, register for a PAN (Permanent Account Number) with the Inland Revenue Department (IRD). If your business is VAT-eligible, register for VAT as well. Both are required for banking, invoicing, and tax filing.
